Welcome to ChillUp, a service marketplace operated by Metiva Technologies Private Limited. ChillUp enables Customers to discover and book independent Buddies who offer real-world, activity-based services.

ChillUp provides the digital infrastructure through which Customers and Buddies can discover services, create profiles, manage availability, request and accept bookings, communicate through applicable Platform features, process payments, and participate in activities subject to these Terms.

ChillUp is a technology platform and marketplace. Unless expressly stated otherwise, ChillUp does not itself provide the activity-based services offered by individual Buddies.

By accessing, registering for, or using the ChillUp website, mobile application, or related services, you agree to be bound by these Terms & Conditions, our Privacy Policy, Cancellation & Refund Policy, Community Guidelines, Safety Guidelines, and other policies applicable to your use of the Platform.

If you do not agree with any part of these Terms, you should not access or use ChillUp.

If you are using ChillUp on behalf of another person or entity, you represent that you have the authority to accept these Terms on their behalf.

To use ChillUp, you must:

• Be at least 18 years of age.
• Be legally capable of entering into a binding agreement.
• Provide accurate, complete, and truthful information.
• Complete applicable verification requirements.
• Use the Platform only for lawful and permitted purposes.

ChillUp may restrict, suspend, or terminate access where it reasonably believes that an eligibility requirement has not been satisfied or that the Platform is being misused.

Customers

Customers are users who discover, request, and book services offered by Buddies through ChillUp.

Buddies

Buddies are independent freelancers or service providers who offer approved activities, skills, time, or services through ChillUp. Buddies may create profiles, list services, specify availability, receive booking requests, and earn through completed bookings in accordance with applicable Platform terms.

A user may be permitted to use ChillUp in both roles, subject to the applicable onboarding and verification requirements.

ChillUp is a marketplace for real-world, activity-based services. Services may include activities such as doctor visits, shopping, photography, city tours and walks, religious visits, sports and gym activities, coffee or tea, pool or snooker, food outings, parties, and other approved services offered through the Platform.

The specific services available may change from time to time. Customers are responsible for reviewing the service description, Buddy profile, applicable price, duration, availability, and other relevant information before making a booking.

ChillUp does not guarantee that a particular Buddy, service, activity, time slot, location, or experience will always be available.

ChillUp does not guarantee personal compatibility, satisfaction, quality of an individual service, or any particular outcome from a booking. The actual service is provided by the relevant Buddy and remains subject to the agreed booking details and applicable Platform rules.

Buddies operate as independent service providers using ChillUp as a marketplace and technology platform. Unless separately agreed in writing, a Buddy is not an employee, agent, partner, or representative of Metiva Technologies Private Limited or ChillUp.

Buddies are responsible for providing accurate information about their services, maintaining the availability they publish, complying with applicable laws, and delivering the services they accept in accordance with the booking and Platform rules.

Buddies are also responsible for maintaining any professional qualification, licence, registration, permission, insurance, or other authorisation that may be required for a particular service under applicable law.

ChillUp may require Buddies to complete identity verification, background checks, profile review, and other verification procedures before or during their participation on the Platform.

Verification is intended to support trust and safety on the Platform. However, verification does not constitute a guarantee, endorsement, certification, or warranty of a Buddy's future conduct, service quality, or suitability for a particular Customer.

Customers and Buddies must follow ChillUp's Community Guidelines and Safety Guidelines at all times.

ChillUp may suspend, restrict, review, or remove an account, profile, listing, or booking where there are reasonable safety, fraud, conduct, verification, or policy concerns.

Customers may submit booking requests for available services offered by Buddies. A booking becomes confirmed only when the applicable confirmation process specified by ChillUp has been completed.

Customers should review the Buddy profile, service description, price, duration, location, availability, cancellation terms, and other relevant details before confirming a booking.

Buddies are responsible for reviewing booking requests and accepting only those bookings they are willing and able to fulfil.

ChillUp may cancel, restrict, or modify a booking where necessary because of safety concerns, policy violations, technical issues, fraud concerns, availability problems, or other legitimate reasons.

Customers must make applicable booking payments through the payment methods made available by ChillUp.

The amount payable may include the Buddy's listed service charge and applicable ChillUp platform, convenience, processing, or other disclosed fees.

Applicable charges will be displayed through the Platform before the Customer confirms a booking, subject to the Platform's technical and operational flow.

Buddies must not request or accept payment outside the Platform for bookings that are required to be processed through ChillUp.

ChillUp may use authorised third-party payment gateways and payment service providers to process transactions.

Cancellations, refunds, rescheduling, and related charges are governed by ChillUp's Cancellation & Refund Policy.

Customers and Buddies are responsible for reviewing the applicable cancellation terms before confirming or accepting a booking.

ChillUp may apply different rules depending on the timing of a cancellation, the reason for cancellation, the status of the booking, or other circumstances specified in the applicable policy.

Where a refund is approved, the amount and method of refund will be determined in accordance with the applicable Cancellation & Refund Policy and payment-provider processes.

By using ChillUp, you agree to:

• Provide accurate and truthful information during registration, verification, profile creation, and booking.
• Keep your account information reasonably accurate and up to date.
• Respect the time, privacy, boundaries, and personal safety of other users.
• Use ChillUp only for lawful and intended purposes.
• Follow applicable booking instructions and Platform policies.
• Avoid harassment, discrimination, intimidation, abuse, threats, or inappropriate conduct.
• Not misrepresent your identity, qualifications, services, availability, or intentions.
• Not attempt to bypass applicable Platform payments, fees, or booking procedures.

Users must not use ChillUp to engage in, request, promote, facilitate, or arrange activities that are unlawful, unsafe, fraudulent, abusive, or contrary to the intended purpose of the Platform.

The following are strictly prohibited:

• Dating, romantic solicitation, or using the Platform primarily for romantic relationships.
• Sexual services, sexual solicitation, escort services, or prostitution-related activities.
• Harassment, stalking, threats, intimidation, abuse, or unwanted sexual or inappropriate behaviour.
• Discrimination based on legally protected characteristics.
• Fake accounts, impersonation, identity misrepresentation, or fraudulent information.
• Misrepresentation of professional qualifications, licences, or services.
• Requesting or accepting prohibited off-platform payments.
• Attempting to obtain another user's private information without legitimate reason or consent.
• Using ChillUp for illegal activities or to facilitate unlawful conduct.
• Uploading or sharing content that violates applicable law or ChillUp policies.
• Circumventing verification, security, moderation, payment, or booking systems.

ChillUp may take immediate action where it reasonably believes that prohibited activity has occurred or may create a safety, legal, financial, or platform-integrity risk.

Where applicable, ChillUp provides in-app communication features to enable Customers and Buddies to coordinate confirmed bookings and relevant service details.

Users must keep communications professional, respectful, and related to the relevant service or booking.

Users should not use Platform communication tools to solicit prohibited services, harassment, personal financial information, unlawful activities, or attempts to bypass ChillUp's policies.

Personal phone numbers are not intended to be shared through the Platform where ChillUp's communication system provides an alternative.

Customers and Buddies may be permitted to provide reviews or ratings after eligible bookings.

Reviews must be honest, relevant, respectful, and based on the user's genuine experience.

Users must not use reviews to threaten, harass, discriminate against, extort, manipulate, or intentionally mislead another user.

ChillUp may remove or restrict reviews that violate these Terms, Community Guidelines, Safety Guidelines, or applicable law.

ChillUp and its licensors retain rights in the Platform, including its software, design, branding, logos, trademarks, text, graphics, interfaces, and other original materials, except for third-party or user-owned content.

Users may not copy, reproduce, distribute, modify, reverse engineer, scrape, commercially exploit, or otherwise misuse ChillUp's intellectual property without prior written permission, except where permitted by applicable law.

By submitting profile information, photographs, service descriptions, reviews, or other content to ChillUp, you represent that you have the necessary rights to provide that content and that its use on the Platform does not knowingly violate another person's rights.

Your use of ChillUp is also governed by our Privacy Policy, which forms an integral part of these Terms & Conditions.

The Privacy Policy explains how ChillUp collects, uses, stores, protects, and otherwise processes personal information in connection with registration, verification, profiles, bookings, payments, communication, support, safety, and other Platform activities.

By using ChillUp, you acknowledge that you have read the Privacy Policy and understand that your personal information may be processed for the purposes described there, subject to applicable law.

We aim to keep ChillUp available and functional, but we do not guarantee uninterrupted or error-free access to the Platform.

Access may occasionally be interrupted because of maintenance, updates, technical failures, network issues, security incidents, third-party service interruptions, or circumstances beyond our reasonable control.

ChillUp may modify, suspend, discontinue, or replace any feature, functionality, service, or part of the Platform from time to time.

ChillUp is a technology platform and marketplace that facilitates discovery, booking, communication, and payment-related processes between Customers and independent Buddies. ChillUp does not itself provide the individual services listed by Buddies unless expressly stated otherwise.

While ChillUp takes reasonable measures intended to support verification, safety, platform integrity, and responsible use, we do not guarantee the identity, qualifications, conduct, availability, quality, legality, suitability, or future behaviour of every user or service provider.

Customers and Buddies are responsible for exercising their own judgment when deciding whether to request, accept, attend, or participate in a service or activity.

To the maximum extent permitted by applicable law, ChillUp and Metiva Technologies Private Limited shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform or participation in a service, except where such liability cannot lawfully be excluded or limited.

ChillUp shall not be responsible for personal disagreements, misunderstandings, unmet expectations, loss caused by a user's independent conduct, or disputes arising directly between Customers and Buddies, except to the extent liability is imposed on ChillUp by applicable law.

Nothing in these Terms is intended to exclude or limit any liability or consumer right that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, costs, or expenses arising from your unlawful use of ChillUp, your violation of these Terms or applicable Platform policies, your misuse of another person's rights, or your fraudulent or intentionally wrongful conduct.

This provision does not apply to the extent that such liability results from ChillUp's own conduct that cannot legally be allocated to the user.

ChillUp may suspend, restrict, or terminate an account or access to the Platform where reasonably necessary because of:

• Violation of these Terms or Platform policies.
• Fraud or suspected fraudulent activity.
• Verification concerns.
• Safety or security concerns.
• Prohibited or unlawful activity.
• Repeated cancellations or misuse of the Platform.
• Attempts to bypass Platform systems or payments.
• Legal or regulatory requirements.

Where reasonably appropriate and legally permitted, ChillUp may provide notice or an opportunity to address a violation. In urgent safety, security, fraud, or legal situations, action may be taken without prior notice.

Suspension or termination of access does not automatically eliminate obligations that accrued before termination, including applicable payment, dispute, confidentiality, or legal obligations.

We may update these Terms & Conditions from time to time to reflect changes in the Platform, business practices, technology, applicable law, or regulatory requirements.

Updated Terms will be published on the ChillUp website or application. Where required, we may provide additional notice or obtain consent to material changes.

Your continued use of ChillUp after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India.

Any dispute arising out of or in connection with these Terms or your use of ChillUp shall be subject to the jurisdiction of the competent courts in India, subject to applicable consumer protection laws and any mandatory jurisdictional requirements.

Nothing in these Terms is intended to prevent a consumer from exercising any statutory right or remedy available under applicable law.
